Billion-Dollar Bet: Dangote Refinery Takes Major Step Toward Landmark Stock Market Debut

The Dangote Petroleum Refinery has moved closer to a highly anticipated public listing after securing a $1 billion underwriting programme, a development that signals growing investor confidence in one of Africa’s largest industrial projects.

The financing arrangement includes a fully funded $600 million private placement and an additional $400 million underwriting commitment designed to support the refinery’s planned Initial Public Offering (IPO).

Industry sources involved in the transaction said the funding package represents a major milestone in preparations for the refinery’s entry into the capital market, with investors across Africa and beyond already showing strong interest in the venture.

The programme was put together by Marob Strategies and Consulting DIFC Ltd and Lilium Capital Group. The $600 million private placement was underwritten and funded by Pan-African Refinery Investment SPV, a subsidiary of Lilium Capital Group.

Attention has now shifted to the next phase of the exercise, with both advisory firms coordinating participation from sovereign wealth funds, governments, institutional investors and other qualified stakeholders across Africa and the Caribbean.

According to the advisers, the level of interest recorded so far reflects growing confidence in large-scale African industrial assets capable of delivering long-term economic returns while supporting the continent’s development agenda.

Beyond paving the way for the refinery’s stock market debut, the initiative is expected to encourage stronger capital flows within Africa and advance the vision of a more integrated financial market under the African Continental Free Trade Area (AfCFTA).

The programme is also being positioned as a vehicle for expanding African ownership in a strategic industrial asset while demonstrating the ability of African institutions to mobilise substantial long-term funding for transformative projects.

Commenting on the development, President and Chief Executive Officer of Dangote Industries Limited, Aliko Dangote, described the transaction as a defining moment for both the refinery and Africa’s capital markets.

He said the successful completion of the private placement, alongside the additional underwriting commitment, underscores investor belief in the refinery’s long-term importance to Nigeria’s energy sector and the wider African economy.

Dangote added that the efforts of Marob Strategies and Lilium Capital have opened the door for broader participation by African and Caribbean sovereign wealth funds, governments and institutional investors.

Chairman of Marob Strategies, Professor Benedict Oramah, said the transaction highlights growing investor appetite for African-led investment opportunities tied to transformative assets on the continent.

He noted that the company is now focused on the distribution phase, engaging key institutional investors and government-backed funds interested in participating in the offering.

According to him, the strong response from investors could serve as a model for future African capital-market transactions seeking to raise funding for major development projects.

Also speaking, Chairman of Lilium Capital Group, Simon Tiemtoré, said the mandate aligns with the firm's objective of linking globally competitive African investment opportunities with institutional capital across Africa and international markets.

He maintained that attracting long-term funding to strategic projects such as the Dangote Refinery would accelerate industrial growth, strengthen financial markets and contribute to sustainable economic development across the continent.

While the underwriting programme marks another significant step toward the refinery’s planned IPO, details such as the listing date, valuation, exchange platform and size of the public offer have yet to be disclosed.

Located in the Lekki Free Zone of Lagos State, the Dangote Petroleum Refinery has become one of Africa’s most ambitious industrial investments. The facility is widely regarded as central to Nigeria’s efforts to boost domestic refining capacity, reduce fuel imports and strengthen energy security.

Market observers say the eventual IPO could become one of the most closely watched listings in Africa, offering institutional and eligible investors an opportunity to acquire a stake in a project that has reshaped the continent’s refining landscape.
